Marcin Marczuk – Chairman of the Audit Committee

Graduate of the Faculty of Law and Administration of the Maria Curie-Skłodowska University (UMCS) in Lublin and legal advisor to the OIRP in Warsaw. He gained supervisory experience, among others, as a member of supervisory boards: BENEFIT SYSTEMS S.A., BERLING S.A., BETACOM S.A., DDPP SECURITIES S.A., GADU-GADU S.A. (currently Grupa Napster), HERKULES S.A., PHN S.A., PROTEKTOR S.A., PREMIUM FOOD RESTAURANTS S.A., OPERA TFI S.A., TOTMES CAPITAL S.A., TRANSPOLONIA S.A., ZORTRAX S.A., ZPC OTMUCHÓW S.A., WIKANA S.A.

Between 1996 and 1999, employee of the Office of the Securities and Exchange Commission (now the FSC). In 1999-2003, employed in the Management Office of the then public company Compensa S.A., in 2003-2006, director of the Management and Supervisory Board Office, proxy and spokesman for PTU S.A. (then Wiener S.A. Vienna Insurance Group). Between 2007 and 2017, managing partner of the law firm Prof. Marek Wierzbowski and Partners.

Managing partner of the law firm Królikowski Marczuk Dyl Adwokaci i Radcowie Prawni (KMD.Legal), where he is responsible for the practice of trading and capital markets transactions and for advising on commercial law companies. Since 2022, judge of the Court of Arbitration at the NDS; in the past, arbitrator of the Court of Arbitration of the second term at the FSC. Ordinary member of the Association of Stock Exchange Issuers since 2020 and member of the Association of Independent Supervisory Board Members since 2022.

Commentator on capital market events, speaker at numerous conferences, congresses or symposia. Author and co-author of publications and articles in the trade press.

Co-author of commentaries to: Capital Market Law (2014, 2016, 2023), Bond Act (2015, 2017), Market Abuse Regulation (MAR) (2016), or Commentary to AML (2022, 2024) (all Publishers C.H. BECK).

Independent member within the meaning of the Capital Market Regulation and the Act on Statutory Auditors.

Stanisław Krukar

A graduate of the University of Technology and Agriculture in Bydgoszcz and, amongst others, the Harvard Business School – BGŻ Leadership Academy, and Harvard Business Publishing – Strategic Leadership Academy. He has experience in banking (including as a regional director) and as a company’s finance and operations director. He is chairman of the supervisory boards of several companies.


Michał Kaczorowski – Member of the Audit Committee

Entrepreneur, owner of a veterinary practice since 2008, and investor. A graduate of the Warsaw University of Life Sciences (SGGW) – Doctor of Veterinary Science, chair of the veterinary committee of the Polish Equestrian Federation (PZJ) and founder and member of the PZJ’s animal welfare committee, Official Delegate of the International Equestrian Federation (FEI), FEI veterinarian, researcher, academic, and author of international

(including the *Equine Veterinary Journal*) in the fields of veterinary medicine and translational medicine. Expert and member of parliamentary working groups on animal welfare. Consultant and participant in Poland’s largest equestrian events, such as the Cavaliada Tour and Warsaw Jumping. Consultant on large-scale construction projects for sports facilities (equestrian).

Organiser and co-organiser of scientific congresses and conferences in the field of veterinary medicine, as well as research projects in the natural sciences. Graduate and Erasmus Socrates scholarship holder at the Tierärztliche Hochschule Hannover (2001), assistant trainee at the Warsaw University of Life Sciences (SGGW) (2002–2004). Trainee at the University of Bern, Switzerland (2003). Conceiver and

designer of the mo-stab 1 external orthopaedic stabiliser. A long-standing expert in the veterinary care of horses used in competitive sport, including national teams in Poland and across the European Union.
